Terms of Service for Canyaa Independent Sales Associate (CISA)

A qualified applicant must accept the following Terms of Service in order to be retained by Canyaa Beijing Science & Technology Co., Ltd. (Company) as an Independent Sales Associate (CISA).

1.Any CISA shall perform the following services: Sell the Company’s advertising service and Canyaa Advertising Credits (CACs) according to the rules and regulations in force at the time of signing this agreement.

2.A CISA is an independent person who does not hold a franchise in nor a distributorship of the Company. A CISA is neither an employee, an agent, nor a partner or involved in a joint venture with the Company. The CISA shall not enter into any agreements or make any purchases in the name of the Company unless agreed in writing by the Company.

3.Commissions earned by a CISA will be paid as follows: 20 percent of the total sales billed by and paid to the Company by an advertising client.

4.Commission payments will be made on the last day of each calendar month for the previous month’s sales. Any change to this policy will be announced to a CISA in writing.

5.A CISA must provide the Company with his/her Identity Card number. The CISA is solely responsible for compliance with any and all income tax regulations set out by the relevant Government Authorities.

6.A CISA shall abide by any and all laws, rules, regulations and ordinances with respect to selling advertising content in the People's Republic of China.

7.A CISA does not have the authority to waive, change, or modify this Agreement without prior written consent of the Company.

8. This agreement may be terminated by the Company at its own volition and without recourse to the CISA.

9.A CISA who is terminated by the Company will no longer receive commissions except for sales of advertisements that are in place on the day of the termination.

A CISA, during the period of this agreement, shall not, without prior written consent of the Company, enter into any arrangement that will conflict with the advertising services that will be sold under this agreement.

A CISA shall not assign, delegate or subcontract any of the work or services covered by this agreement, nor shall any interest in this agreement be assigned or transferred, without prior written approval of the Company.

12.This Terms of Service Agreement constitutes the entire agreement between the Company and the CISA. This Terms of Service Agreement shall not be binding unless executed in writing by the Company and the CISA. Any amendment to the Agreement must be made in writing and agreed by both parties.
